The Academy of the New Church Charter

As amended and restated on October 23, 1998


Article I.

This Corporation shall have the name style and title of "The Academy of the New Church."

Article II.

The Academy of the New Church shall be for the purpose of propagating the Heavenly Doctrines of the New Jerusalem and establishing the New Church signified in the Apocalypse by the New Jerusalem, promoting education in all its various forms, educating young men for the ministry, publishing books, pamphlets, and other printed matter, and establishing a library.

Article III.

The place of business and office of the said Corporation shall be 2815 Huntington Pike, Borough of Bryn Athyn, Montgomery County, Pennsylvania.

Article IV.

This Corporation shall have perpetual existence.

Article V.

The Corporators or Subscribers of the said The Academy of the New Church are:

Revd. William H. Benade residing in the City of Allegheny, Pennsylvania;
Revd. James P. Stuart residing in Vineland, New Jersey;
Revd. Nathan C. Burnham residing in the City of Lancaster, Pennsylvania;
Revd. J.R. Hibbard residing in the City of Chicago, Illinois;
Revd. William F. Pendleton residing in the City of Philadelphia, Pennsylvania;
Revd. Louis H. Tafel residing in the City of Philadelphia, Pennsylvania;
Revd. Rudolph Tafel residing in the City of London, England;
Francis E. Boericke, Esqr. Residing in the City of Philadelphia, Pennsylvania;
David McCandless, Esqr. Residing in the City of Allegheny, Pennsylvania;
John Pitcairn, Jr., Esqr. Residing in Oil City, Pennsylvania;
Walter C. Childs, Esqr. Residing in the City of Pittsburgh, Pennsylvania;
Franklin Ballou, Esqr. Residing in the City of Pittsburgh, Pennsylvania;

who with their successors and associates shall have all the powers and privileges given or allowed under the Constitution and Laws of the United States of America and of the Commonwealth of Pennsylvania, use a Common Seal, confer Degrees and grant Diplomas as other Colleges and Universities.

Article VI.

The Directors or Board of Finance of "The Academy of the New Church" shall be not less than three. Those chosen for the first year are: Revd. William H. Benade, residing in the City of Allegheny, Pennsylvania, Chancellor or President, Revd. James P. Stuart, residing in Vineland, New Jersey, Vice Chancellor and Secretary; Walter C. Childs, Esqr., residing in the City of Pittsburgh, Pennsylvania, Treasurer; John Pitcairn, Jr., Esqr., residing in Oil City, Pennsylvania; David McCandless, Esqr., residing in the City of Allegheny, Pennsylvania.

Article VII.

The Academy of the New Church shall have no capital stock.

Article VIII.

No part of the net earnings of the Corporation shall inure to the benefit of or be distributable to its members, directors, officers, or other private persons, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered, and to make payments and distributions in furtherance of the purposes set forth in Article II hereof. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provisions of these articles, the Corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code of 1954, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954, or in the corresponding section of any future federal tax code.

Article IX.

  • A.In the event of the dissolution of the Corporation, all of its assets which remain after paying (or making provisions for the payment of) all liabilities of the Corporation, shall be distributed in the manner prescribed by the laws of the Commonwealth of Pennsylvania to the General Church of the New Jerusalem, a Pennsylvania Non-Profit Corporation, but exclusively for the purposes of the Corporation. If the General Church is not in existence or does not qualify as a 501(c)(3) entity, then the assets shall be distributed to such corporation or corporations which qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding section of any future federal tax code, incorporated for purposes the same as or similar to the stated purposes of the Corporation.

  • B.No individual member, director, or officer of the Corporation shall be entitled to the distribution or division of any portion of the Corporation's assets on dissolution.

  • C.If the Corporation owns any assets which were received by the Corporation, upon the condition that they be distributed to a designated organization in the event of the dissolution of the Corporation, then such assets shall be distributed to said designated organization upon dissolution of the Corporation, provided that said designated organization at the time of such distribution qualifies as an exempt organization under Section 501(c)(3) of the Internal Revenue Code of 1954, or the corresponding section of any future federal tax code. In the event such designated organization does not so qualify (or is not then in existence), said assets will be disposed of pursuant to the preceding provisions of this Article.
